TAEPACK TECHPACK BUILDER TERMS & CONDITIONS Effective Date: February 24, 2026 1. Acceptance of Terms These Terms and Conditions ("Terms") govern your access to and use of Taepack Techpack Builder ("the App"). By accessing or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the App. 2. Description of the App Taepack Techpack Builder is a browser-based footwear techpack design application that allows users to: Create and manage footwear design specifications and techpacks Upload and annotate CAD drawings and reference images Specify materials, colors, constructions, and costing data Export techpacks as PDF, Word, Excel, or image files Optionally use AI-powered features with a user-supplied Anthropic API key 3. Eligibility You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. 4. User Responsibilities 4.1 Acceptable Use You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to: Use the App to infringe the intellectual property rights of any third party Upload content that is unlawful, harmful, defamatory, or violates any applicable laws Attempt to reverse-engineer, decompile, or tamper with the App's source code Use the App to transmit malware, viruses, or other harmful code Misrepresent your identity or affiliation when using the App 4.2 API Key Responsibility If you choose to enter an Anthropic API key to access AI features, you are solely responsible for: Keeping your API key confidential and secure All usage and associated costs incurred through your API key Compliance with Anthropic's Terms of Service (anthropic.com/terms) when using their API 4.3 Design Content You are solely responsible for all design content, specifications, images, and data you upload or create within the App. You represent and warrant that you own or have the necessary rights to all content you use in the App. 5. Intellectual Property 5.1 App Ownership The App, including its design, code, features, and branding ("Taepack" and "Taepack Techpack Builder"), is owned by its developers and protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of the App or its components. 5.2 Your Content You retain all intellectual property rights in the design content, techpacks, and data you create using the App. By using the App, you grant us no rights to your content — it remains entirely yours. 5.3 Third-Party Assets Color codes and names displayed in the App are the property of their respective owners. Their inclusion is for reference purposes only. You are responsible for ensuring your use of colors complies with applicable licensing requirements in your commercial work. 6. AI Features & Third-Party Services Certain features of the App are capable of using the Anthropic Claude API. Use of these features is subject to: You providing a valid Anthropic API key at your own discretion Anthropic's Terms of Service and Privacy Policy The accuracy and availability of Anthropic's API, which we do not control or guarantee We make no representations or warranties regarding the accuracy, reliability, or completeness of AI-generated outputs. AI color extraction, scanning, and analysis results should be reviewed and verified by the user before use in commercial specifications. 7. Disclaimers 7.1 No Warranty THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS. 7.2 Professional Responsibility The App is a design and documentation tool. All techpack specifications, material callouts, construction details, and costing estimates generated through the App are the sole responsibility of the user. We are not liable for errors in exported documents used in commercial manufacturing or procurement. 7.3 Data Loss Because data is stored locally in your browser, we cannot guarantee against data loss caused by browser updates, device issues, clearing of browser data, or other factors outside our control. We strongly recommend regularly exporting your techpack files as a backup. 8. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR ACCESS TO THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 9. Indemnification You agree to indemnify, defend, and hold harmless the App's developers, owners, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: Your use of the App Your violation of these Terms Your violation of any rights of another party, including intellectual property rights Any content you upload or create using the App 10. Modifications to the App & Terms We reserve the right to: Modify, suspend, or discontinue the App at any time without notice Update these Terms at any time by posting a revised version with an updated effective date Your continued use of the App after any modification to these Terms constitutes your acceptance of the updated Terms. 11. Governing Law These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or courts of competent jurisdiction in the applicable territory. 12. Severability If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. 13. Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the App and supersede all prior agreements and understandings. 14.
